1. Acceptance of Terms

By creating an account or using the LinguaLearn platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. LinguaLearn is a property of Next Number Consulting ("we", "our", or "us") and provides French language tutoring services for TEF/TCF Canada exam preparation.

2. Eligibility

You must be at least 16 years of age to use the Platform. By registering, you represent that you are at least 16 years old and that all information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials.

3. Services

LinguaLearn provides a platform connecting students with French language tutors for TEF/TCF Canada exam preparation. Services include one-on-one and group tutoring sessions delivered via live video, access to educational resources, and progress tracking. Session availability depends on tutor schedules and your purchased program.

4. User Accounts

You must provide a valid email address and verify it before accessing platform features
You are responsible for all activity under your account
You must not share your account credentials with others
You must not create multiple accounts or use false information
We reserve the right to suspend or terminate accounts that violate these Terms

5. Payments and Refunds

5.1 Pricing

All prices are listed in Canadian Dollars (CAD) and are subject to change. Current pricing is displayed on our Pricing page. Applicable taxes may be added at checkout.

5.2 Payment Processing

Payments are processed securely through Stripe. We do not store your credit card information. By purchasing a program, you authorize us to charge the specified amount. Installment payment plans, where available, include a processing surcharge as displayed at checkout.

5.3 Refund Policy

Refund requests must be submitted within 14 days of purchase. Programs with completed sessions are eligible for a prorated refund based on unused sessions. Standalone sessions are non-refundable once the session has been completed. Refund requests can be sent to info@lingualearn.ca.

6. Session Policies

6.1 Booking and Cancellation

Sessions must be booked through the Platform. Cancellations made less than 24 hours before the scheduled session may result in the session being counted as used. Repeated late cancellations may result in restrictions on booking.

6.2 No-Shows

If a student fails to join a session within 15 minutes of the scheduled start time, the session will be marked as a no-show and counted as a used session. If a tutor fails to attend, the session will be rescheduled at no cost to the student.

6.3 Session Conduct

Users must conduct themselves respectfully during sessions. Harassment, abusive language, or inappropriate behavior will result in immediate session termination and may lead to account suspension. Session recordings, if enabled, are for educational purposes and must not be shared externally without written consent from all participants.

7. Intellectual Property

7.1 Platform Content

The Platform, including its design, code, branding, logos, and user interface, is the intellectual property of Next Number Consulting, operating as LinguaLearn, and is protected by Canadian and international copyright and trademark laws. All rights reserved. You may not copy, modify, distribute, or create derivative works from the Platform without our written consent.

7.2 Course Materials and Educational Resources

All educational materials, course content, lesson plans, worksheets, practice exercises, study guides, audio recordings, video content, and other learning resources provided through the Platform ("Course Materials") are the exclusive intellectual property of Next Number Consulting, operating as LinguaLearn, and/or its content creators. All rights reserved. Course Materials are licensed to you solely for personal, non-commercial educational use during your active subscription or program period.

You expressly agree NOT to:

Copy, reproduce, download, or store Course Materials except for personal study
Share, distribute, sell, or resell Course Materials to any third party
Upload Course Materials to any other platform, website, or file-sharing service
Use Course Materials for commercial purposes, including teaching or tutoring outside this Platform
Remove any copyright notices, watermarks, or proprietary markings from Course Materials
Create derivative works based on Course Materials
Screen-record, transcribe, or otherwise capture session content for redistribution

Violation of these intellectual property restrictions may result in immediate account termination, legal action, and claims for damages. Your access to Course Materials terminates when your subscription or program ends or your account is closed.

7.3 Tutor-Created Content

Materials created by tutors specifically for the Platform are licensed to LinguaLearn for use on the Platform. Tutors retain ownership of their original content but grant LinguaLearn a non-exclusive, royalty-free license to use such materials for platform operations and student access.

7.4 User-Generated Content

By submitting reviews, feedback, or other content to the Platform, you grant LinguaLearn a non-exclusive, perpetual, royalty-free license to use, display, and reproduce such content for platform operations and marketing purposes.

8. Tutor Terms

Tutors on the Platform operate as independent contractors, not employees of LinguaLearn. Tutors are responsible for the quality and accuracy of their instruction. LinguaLearn facilitates the connection between tutors and students but does not guarantee specific exam outcomes or scores. Tutor payouts are processed according to the agreed schedule and are subject to applicable deductions.

9. Disclaimer of Guarantees

LinguaLearn provides tutoring services to help students prepare for TEF/TCF exams. We do not guarantee specific test scores, exam results, or immigration outcomes. Success depends on individual effort, prior knowledge, and other factors beyond our control. Our services are provided "as is" without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by law, LinguaLearn shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of data, loss of revenue, or exam results. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Account Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or misuse the Platform. You may close your account at any time by contacting us. Upon termination, your access to Course Materials and session history will be revoked. Any unused sessions from paid programs are subject to the refund policy in Section 5.3.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform and close your account.
